Construction Firm Sues American Seating and Architect for $7.5 Million Over Project Dispute

First Companies Inc. has filed a $7.5 million lawsuit against American Seating and Ghafari Associates concerning unpaid work on the Grand Rapids headquarters project. Claims include breach of contract and negligence, with First Companies asserting they were excluded from essential planning phases and not informed of key design changes. The project cost has escalated significantly, much to the surprise of American Seating, while subcontractors have filed multiple liens for unpaid work.

The construction manager for American Seating Co.’s new headquarters in Grand Rapids has initiated legal action against the company and its architect over alleged unpaid services amounting to nearly $7.5 million. First Companies Inc., based in Caledonia, filed the suit in the Kent County Circuit Court on November 22, targeting both American Seating and Ghafari Associates, the project’s lead architect. The lawsuit outlines claims of breach of contract, fraud, and negligence, citing exclusion from critical planning phases and unilateral design changes that increased project costs without notifying First Companies.

In a 42-page complaint, First Companies asserts that they were omitted from key project discussions from the beginning, resulting in escalated expenses due to alterations made by American Seating and Ghafari Associates. The contractor is seeking mediation to resolve the disputes. As of December 12, neither American Seating nor Ghafari Associates had responded formally to the claims.

First Companies’ attorney indicated intentions to amicably resolve the issue, with media representative Mary Ann Sabo communicating that American Seating aims for a mutual agreement while maintaining their stance of not commenting on ongoing litigation. The lawsuit highlights that a project initially budgeted at $8.5 million has swelled to over $10.5 million, mainly for the concluded final phase, raising concerns about financial transparency.

Despite the challenges, First Companies continued to execute their work but faced financial strain, needing to compensate their subcontractors for unpaid dues from American Seating. This situation has resulted in several subcontractors filing construction liens totaling over $6 million since August, demonstrating the growing complexities surrounding the project.

As the major stakeholders continue to navigate this conflict, American Seating was informed earlier this year that financing for the project would fall approximately $2.5 million short of projections, exacerbating the already contentious financial scenario involving multiple parties.
